Corporate and commercial law
We advise and assist our overseas clients investing in Italy, in domestic and cross-border corporate and commercial transactions – from private M&A, joint ventures and partnerships, to setting up a presence in Italy – a representative office, a branch office or a wholly owned subsidiary company. Due to our consolidated expertise we are able to understand our clients’ requirements and their business strategies, adding value and providing cost-effective solutions enabling our clients’ corporate deals to be concluded successfully in the most efficient manner.
We offer a whole package of services dealing with the initial non-disclosure agreement, signing the Letter of intent or MOU, conducting and arranging the due diligence, negotiating and agreeing terms and conditions, warranties and representations, structuring the deal, representing and assisting the client at completion.
Recent acquisitions include investments in the areas of renewable energies (photovoltaic power plants), software engineering and winemaking.
Negotiation and drafting of commercial agreements
We provide effective advice and assistance in negotiating and drafting all kinds of cross-border commercial agreements relating to manufacture, supply, international and domestic agency and distribution, sale of goods, licensing, outsourcing, cooperation, sub-contracting and other commercial agreements, taking into account the requirements of different legal systems as well as European and international legislation, given the multi-jurisdictional focus of commercial transactions.
Our corporate works includes advising in connection with “good business practices” and securing compliance with and building and implementing “organisation, management and control models” pursuant to the Italian anti-corruption statute (Legislative Decree June 8, 2001, n. 231)
Real property is a substantial part of our practice: for over 25 years we have advised and assisted a wide range of clients, developers, entrepreneurs and private individuals in real property transactions in Italy, providing a full range of legal services in relation to purchasing, restructuring, managing and selling property, from prestige villas and castles, country homes and farms and vineyards to residential property in historic city centres.
The full package of legal services that we are able to offer to our clients starts from the initial due diligence and purchase offer, arranging the survey, structuring the deal, negotiating and agreeing terms and conditions, representing and assisting the client at completion, dealing with the legal aspects of all renovation and construction works.
We act for both corporate and private clients in a range of areas. Our first objective is to defuse disagreement and resolve disputes without recourse to the courts, by means of cost-effective interest-based “problem-solving” negotiation or through mediation. But of course where necessary we will take requisite and decisive action to represent our clients before the courts of law or in arbitration proceedings.
With a large proportion of our clients being either based in a foreign jurisdiction or doing business internationally, our ability to handle international disputes from a single point of contact in Italy is a key strength.
Our employment practitioner is able to effectively advise on all aspects of Italian employment law from hiring through to termination and to assist and represent clients in litigation before the employment conciliation boards and employment tribunals
Non-profit organisations and projects
Since his university degree thesis on international law rules concerning the protection of the marine environment from land-based pollution, Carlo Mastellone has always shown a keen interest to support and provide legal advice to non-profit organisations and projects, including, in recent years: – a number US universities and educational institutions, in respect of their Italian study programs; the eco-compatible and energy sustainable restoration and reconversion project of a historic estate (Villa, park an farm) near Lucca, transformed into a contemporary arts performance and exhibition centre, with a biological and bio-dynamic farm and food project (www.delloscompiglio.org).
